If we are unable to resolve a dispute informally, any claim, dispute, or controversy arising out of or relating to these Terms or your use of the Website shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the state of the Company's principal place of business or remotely via videoconference, at your election. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Exceptions to Arbitration

The following claims are exempt from arbitration: claims for injunctive or equitable relief, small claims court actions that qualify under applicable rules, and intellectual property disputes.

YOU AND GREENWATT CONSULTING LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, or representative proceeding.

These Terms shall be governed by and construed in accordance with the laws of the State in which GreenWatt Consulting LLC is organized, without regard to its conflict of law principles. To the extent any lawsuit is permitted under these Terms, you and GreenWatt Consulting agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within that State.
